1. Acceptance of Terms
By creating a Squadz account, installing the app, or otherwise accessing or using our services, you agree to be bound by these Terms of Use and our Privacy Policy.
If you do not agree to these terms, do not create an account or use Squadz services.
These terms form a legal agreement between you and Squadz Inc. If you are using Squadz on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Eligibility and Account Responsibilities
You must be at least 14 years old to use Squadz. The minimum age of 14 reflects Quebec's Law 25, which recognizes 14 as the age at which a minor may give their own consent to the collection and use of personal information. Users between 14 and the age of majority in their jurisdiction are encouraged to review these terms with a parent or guardian.
You must have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
You are responsible for keeping your login credentials confidential, maintaining accurate account information, and all activity that occurs under your account. Notify us immediately at support@squadz.ca if you suspect unauthorized access.
You may not create more than one personal account, transfer your account to another person, or use another person's account without permission.
3. Acceptable Use
You agree to use Squadz only for lawful purposes and in a manner consistent with these terms and all applicable laws and regulations.
You must not: engage in fraud, impersonation, harassment, or hate speech; post illegal, defamatory, or misleading content; attempt to gain unauthorized access to accounts, systems, or data; scrape, crawl, or harvest data from Squadz without permission; use automated bots, scripts, or tools to create accounts, submit reviews, or interact with the platform in a deceptive way; or upload malware, exploit vulnerabilities, or disrupt the operation of Squadz services.
Squadz may monitor content and activity to enforce these rules and maintain platform safety.
4. User Content
You retain ownership of content you submit to Squadz — including event descriptions, photos, chat messages, voice recordings, and reviews.
By submitting content, you grant Squadz a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, and display that content solely as needed to operate, improve, and promote the Squadz platform.
You represent and warrant that you have all rights needed to submit the content, that it does not violate applicable law, and that it does not infringe any third-party rights (including copyright, privacy, or defamation).
We may remove content that violates these terms, our community standards, or applicable law, without advance notice.
5. Events, Tickets, and Transactions
Squadz is a neutral platform that connects independent event hosts with participants. Squadz does not organize, sponsor, supervise, attend, or control any event listed on the platform, and is not a party to the agreement formed between hosts and participants when a ticket is purchased or an RSVP is confirmed.
Hosts are solely and exclusively responsible for their events. This includes — without limitation — the accuracy of event details, pricing and tax disclosures, venue safety and security, crowd management, age and identity verification at the door, compliance with applicable permits, alcohol service, food safety, and health regulations, possession of any required insurance, the conduct of staff and attendees on site, and any incident, injury, loss, or damage arising before, during, or after the event.
Participants are solely responsible for evaluating any event before joining. Before buying a ticket or attending, you must independently verify the identity, reputation, credibility, and trustworthiness of the host, the legitimacy of the venue, and the suitability of the event for you. Squadz provides limited trust signals (such as host badges, ratings, and reports), but those signals do not constitute endorsement, vetting, or any guarantee of safety.
You acknowledge that meeting people and attending in-person events involves inherent risk. To the maximum extent permitted by applicable law, Squadz is not liable for any injury, harassment, theft, illness, property damage, financial loss, criminal act, or other incident — direct or indirect — that occurs at, on the way to, or as a result of any event organized through the platform. You participate at your own risk.
Tickets are personal and non-transferable unless the host explicitly allows transfer. Resale of tickets outside the platform is not permitted and we may invalidate tickets known to have been resold without authorization.
Payments are processed through Stripe Connect. When you purchase a ticket, the charge is made directly on the host's connected Stripe account; Squadz collects a platform service fee on each ticket and the remainder (less Stripe processing fees and applicable taxes) is held in the host's Stripe balance until payout.
Refund policy — partial refunds: Refund requests are accepted only up to twenty-four (24) hours before the event start time. Refunds inside the 24-hour window are at the host's sole discretion. Approved refunds are paid out of the host's Stripe balance. The Squadz platform service fee is non-refundable.
Refund policy — host cancellation: If a host cancels an event, participants receive a full refund of the ticket price and any taxes collected. The Squadz platform service fee is non-refundable.
Refund policy — platform cancellation for fraud: If Squadz cancels an event because of confirmed fraud, identity mismatch, or material policy violation by the host, participants receive a full refund including the platform service fee, and the host account is subject to suspension or termination.
Refund policy — no-show and attendee complaints: There is no automatic refund for no-shows. Disputes are reviewed case by case. Where a complaint is found valid, the refund is recovered from the host's Stripe balance.
Chargebacks initiated outside the Squadz refund process are governed by Stripe's dispute rules. Hosts remain financially responsible for chargebacks on their events as described in Section 6.
6. Host and Organizer Terms
Hosts are independent operators. Hosts are not employees, partners, agents, joint venturers, or representatives of Squadz, and Squadz does not employ, supervise, or direct hosts in the running of their events.
To accept paid bookings, hosts must complete Stripe Connect Express onboarding, including Know-Your-Customer (KYC) identity verification and bank account verification. Squadz may decline or revoke hosting privileges if onboarding cannot be completed or if the information provided is inaccurate or incomplete.
Tax compliance is the sole responsibility of the host. Squadz does not act as merchant of record. Although applicable taxes (such as GST, QST, or sales tax) may be collected from participants at checkout, those taxes are passed to the host's Stripe balance, and the host is solely responsible for remitting them to the appropriate tax authorities and for issuing any receipts required by law.
Payouts are made on a manual, delayed schedule. Funds collected on a ticket sale remain in the host's Stripe balance until released. Standard payout date is the later of: (a) ten (10) days after the event end date, or (b) the date on which any active dispute, complaint review, or risk review concerning the event is resolved. In no case will payout be delayed beyond ninety (90) days after the original charge unless required by law, by Stripe, or by an open investigation.
New host limits. For your first three (3) events on Squadz, total revenue per event is capped at five hundred Canadian dollars (CAD 500) and your account is subject to enhanced review. These limits may be lifted as you build a verified track record on the platform.
Risk scoring. Each event is assigned a risk score based on signals such as account age, ticket pricing, sales velocity, refund rate, and user reports. Events scoring above the platform's risk threshold (currently 60 out of 100) may have their payouts frozen pending manual review, and may be cancelled if the review confirms fraud or policy violation.
Host liability for disputes and chargebacks. The host is fully and financially responsible for any refund, chargeback, or dispute arising from one of their events, including disputes that occur after payout has already been issued. By accepting these terms, the host authorizes Squadz and Stripe to debit the host's Stripe balance — and, where the balance is insufficient, the host's linked bank account — to cover refunds, chargebacks, reversed disputes, fines, and any associated processing fees.
Reserve and offset. Squadz may, at its discretion, hold a small reserve (for example, ten percent of revenue) on a host's recent sales to protect against future disputes, and may offset that reserve against any amount the host owes the platform or its users.
Automatic ban conditions. Squadz will suspend or permanently terminate host accounts in the case of: fake or non-existent events; duplicate listings; mass complaints from participants (including more than twenty percent (20%) negative post-event feedback on a single event, which triggers automatic flagging); identity mismatch between the host account and the verified Stripe identity; impersonation of another organizer; or any conduct that endangers participant safety.
The Squadz platform service fee on ticket sales is 1.0% and is non-refundable to the host except where Squadz cancels an event for fraud or material platform error. The current fee rate is displayed in the host dashboard and may change with notice.
Squadz may restrict, suspend, or terminate hosting privileges at any time for verified complaints, excessive refund rates, repeated late cancellations, suspected money laundering, or any breach of these terms.
7. Subscriptions, Fees, and Billing
Squadz offers the following subscription plans: Free and HOSTER+. Each plan includes different features for event discovery and hosting. Plan features and pricing are described in the app.
Paid subscriptions are billed on a recurring basis and automatically renew until you cancel. You authorize Squadz to charge your payment method on each renewal date.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then.
Subscription fees are non-refundable for the current billing period, except where required by applicable consumer protection law.
You are responsible for any applicable taxes and for keeping your payment information current. Failed payments may result in suspension of paid features.
8. Third-Party Services and Platforms
Squadz integrates with third-party services including Stripe (payments), Firebase (authentication and notifications), Mapbox (maps), and PostHog (analytics). These services are governed by their own terms and privacy policies. We are not responsible for their practices.
The Squadz mobile app is distributed through the Apple App Store and Google Play Store. Apple and Google are not parties to these terms, but their respective developer program terms govern the distribution of the app on their platforms.
Squadz is not responsible for third-party websites, content, or services linked from within the app.
9. Intellectual Property
All Squadz platform software, source code, trademarks, logos, designs, and service materials are owned by Squadz Inc. and protected by applicable Canadian and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Squadz app on your personal device solely for your own use in accordance with these terms.
Except as expressly permitted, you may not copy, modify, reverse engineer, decompile, create derivative works from, or redistribute any part of Squadz services.
10. Suspension and Termination
Squadz may suspend, restrict, or terminate your account or access to specific features at any time, with or without notice, where reasonably necessary to: protect users or the public, enforce these terms, investigate suspected misuse or fraud, or comply with legal obligations.
Actions we may take include removing content, lowering host trust scores, restricting hosting privileges, or permanently banning accounts.
You may delete your account at any time through the app settings. Upon account deletion, your access to paid features ends immediately. Pending payouts and unresolved disputes may be held and processed after account closure in accordance with applicable obligations.
Sections of these terms that by their nature survive termination — including intellectual property, indemnification, limitation of liability, and governing law — remain in effect after termination.
11. Service Availability and Disclaimers
Squadz services are provided on an "as is" and "as available" basis, to the extent permitted by applicable law.
We do not guarantee continuous, uninterrupted, or error-free operation. We are not responsible for delays or failures caused by events outside our reasonable control.
User-generated content, event listings, and host profiles reflect the statements of their authors. Squadz does not verify, endorse, vouch for, or guarantee the identity, qualifications, character, or trustworthiness of any host or participant, nor the accuracy, legality, safety, or quality of any event, venue, listing, photo, description, or representation made on the platform. Trust signals such as ratings, badges, and risk scores are informational and do not constitute a guarantee.
Squadz is not responsible for, and expressly disclaims liability for, any incident — including but not limited to physical injury, harassment, assault, theft, food poisoning, illness, property damage, financial loss, fraud, criminal acts, or disputes between users — that occurs at, before, after, or in connection with any event organized through the platform. Hosts are responsible for the safety of their events. Participants are responsible for assessing the credibility of hosts and the safety of events before joining. You use Squadz and attend events at your own risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Squadz Inc. is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, Squadz services — including damages related to events attended, user conduct, or platform downtime.
Where liability cannot be excluded or limited by law, Squadz's total liability to you for any claim is limited to the greater of: the total fees you paid to Squadz in the 12 months before the event giving rise to the claim, or CAD 100.
Nothing in these terms excludes or limits liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be excluded under Quebec consumer protection law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Squadz Inc. and its officers, employees, and agents from any third-party claims, losses, damages, and expenses (including reasonable legal fees) arising from: your use of Squadz services in violation of these terms; content you submit; or your violation of any applicable law or third-party right.
14. Governing Law and Dispute Process
These terms are governed by and construed in accordance with the laws of the Province of Quebec and applicable federal laws of Canada, without regard to conflict of law principles.
Before initiating any formal legal proceeding, you agree to contact Squadz at support@squadz.ca and attempt to resolve the dispute in good faith within 30 days.
If the dispute is not resolved informally, it may be submitted to the courts of competent jurisdiction in Montreal, Quebec, unless another forum is required by applicable consumer protection law.
15. Changes to These Terms and Contact
We may update these terms when our services, technology, or legal requirements change. Updated terms are posted in the app and on our website, and the effective date is updated accordingly.
For material changes, we will provide notice through the app or by email at least 15 days before the changes take effect, where required by law.
Continued use of Squadz after updated terms take effect constitutes your acceptance of the revised terms. If you do not accept the changes, you must stop using the services and may delete your account.
